These Terms of Service ("Terms") govern your access to and use of the Zero Vector Ventures website (the "Site"), operated by Zero Vector Ventures, a Delaware corporation based in the United States ("Zero Vector," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Acceptance of terms

By accessing, browsing, or submitting information through the Site, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Use of the Site

You may use the Site for lawful, personal, and legitimate professional purposes only. You agree not to:

  • scrape, harvest, crawl, or otherwise extract content from the Site by automated means without our prior written consent;
  • copy, redistribute, republish, or resell any content from the Site outside the scope of fair use;
  • misrepresent your identity, affiliation, or qualifications in any form submission;

3. Intellectual property

All content on the Site, including text, graphics, logos, images, page layouts, written materials, and underlying code, is owned by or licensed to Zero Vector Ventures and is protected by intellectual property laws. "Zero Vector" and related names, marks, and logos are trademarks of Zero Vector Ventures.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal and legitimate professional purposes. No other rights are granted by implication, estoppel, or otherwise.

4. Submissions and applications

When you submit information through any form on the Site, including applications, partnership inquiries, or general messages, you represent that the information is accurate and that you have the right to provide it. We may review, retain, and act on submissions in accordance with our Privacy Policy.

Submitting a form does not create any obligation on our part to respond, evaluate, accept, or progress your submission. No employment, engagement, equity, placement, investment, or partnership relationship is offered or created by your use of the Site or by any submission through it.

5. Apprenticeship and partnership programs

Information on the Site about apprenticeships, partnerships, the studio, and related programs is provided for descriptive purposes only. Participation in any Zero Vector program is governed by separate program-specific agreements that, where applicable, will be executed between you and Zero Vector. The Site, including any page describing a program, does not constitute such an agreement, an offer, or a binding commitment.

6. No offer of securities

Nothing on the Site constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any security, investment, fund interest, or other financial instrument. Any offer or solicitation relating to investments will be made only through definitive offering documents, to qualified persons, in compliance with applicable law.

7. Disclaimers

The Site and all content on it are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted availability.

We make no warranties or representations regarding outcomes from any form, application, program, or partnership referenced on the Site, including any placement, hiring, funding, partnership, or business result.

8. Limitation of liability

To the maximum extent permitted by law, in no event will Zero Vector, its affiliates, or any of their respective directors, officers, employees, agents, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the Site will not exceed one hundred United States dollars (USD 100).

9. Indemnification

You agree to defend, indemnify, and hold harmless Zero Vector and its affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site, your submissions, or your violation of these Terms or applicable law.

10. Third-party links and content

The Site may contain links to third-party websites, services, or resources that we do not own or control. We are not responsible for the availability, accuracy, content, or practices of any third-party resource, and inclusion of a link does not imply endorsement. Your use of any third-party resource is at your own risk and is subject to that third party's terms and policies.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, retain, and protect information submitted through the Site. By using the Site, you acknowledge and agree to the practices described in our Privacy Policy.

12. Termination

13. Governing law and disputes

These Terms and any dispute arising out of or relating to them or your use of the Site will be governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. You agree that the state and federal courts located in the State of Delaware will have exclusive jurisdiction over any such dispute, subject to any mandatory rights you may have under the laws of your country of residence.

14. Changes to these Terms

We may update these Terms from time to time to reflect changes in our practices, the Site, legal requirements, or for other operational reasons. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice on the Site. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zero Vector regarding your use of the Site, and supersede any prior agreements on that subject. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction.
